Terms of Service

1. Acceptance of Terms

By downloading, installing, or using OpenSEM Pro ("the Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software.

2. License Grant

Upon purchasing a valid license, we grant you a non-exclusive, non-transferable, revocable license to use the Software on one (1) device at a time, subject to the terms of your subscription plan:

• Monthly Plan: Access for 30 days from the date of payment, automatically renewing each month until cancelled.
• Annual Plan: Access for one year from the date of payment, automatically renewing each year until cancelled.
• Lifetime Plan: Perpetual access from the date of purchase, including all future updates.

3. Restrictions

You may not:

• Share, distribute, or transfer your license key to another person
• Use the Software on more than one device simultaneously with a single license
• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any proprietary notices or labels on the Software
• Use the Software for any unlawful purpose
• Resell, sublicense, or commercially distribute the Software

4. Free Trial

We may offer a free trial period. During the trial, you have full access to all features. When the trial expires, you must purchase a license to continue using the Software. Trial availability and duration may change at any time without notice.

5. Payment & Billing

All payments are processed securely through Lemon Squeezy. By subscribing to a paid plan, you agree to pay the applicable fees. Subscription plans renew automatically unless cancelled before the renewal date. You can manage your subscription through your Lemon Squeezy billing portal.

6. Refund Policy

We offer refunds on a case-by-case basis. If you are unsatisfied with the Software, contact us at contact@opensempro.com within 14 days of purchase. Refund requests after 14 days may not be honored.

7. Intellectual Property

The Software, including all code, design, graphics, and documentation, is the intellectual property of OpenSEM Pro and is protected by copyright and other intellectual property laws. Your license does not grant you ownership of the Software.

8. Data & Privacy

Your use of the Software is also governed by our Privacy Policy. By using the Software, you consent to the collection and use of information as described in our Privacy Policy.

9. Software Updates

We may release updates, patches, or new versions of the Software from time to time. Updates may be installed automatically. Continued use of the Software after an update constitutes acceptance of any changes.

10. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Software will be error-free, uninterrupted, or free of harmful components. You use the Software at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, OpenSEM Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities, arising from your use of the Software.

12. Termination

We may terminate or suspend your license at any time if you violate these Terms of Service. Upon termination, you must cease all use of the Software and delete all copies from your devices.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable international laws. Any disputes shall be resolved through good-faith negotiation or, if necessary, through binding arbitration.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Software after changes constitutes acceptance of the new terms.
